Investment thesis

We invest where we can change the outcome.

We look for businesses and assets with proven underlying value but structural constraints that prevent that value from being fully realized. Capital alone rarely removes those constraints.

01 — Where the market fails

The infrastructure gap.

Six structural patterns we look for. Each can create an entry point.

01Infrastructure gap

Revenue exists. Customers exist. Scale doesn't — the operating infrastructure can't support it.

02Capital without transformation

Capital deployed without operational change often amplifies the existing system rather than changing its ceiling.

03Crowded sourcing

Reliance on widely marketed opportunities can compress differentiation before ownership even begins.

04Passive ownership

Capital and board oversight alone do not resolve structural operating constraints.

05Exit mismatch

Businesses reach the market with the same structural limitations they had years earlier, leaving unrealized strategic value.

06Scale without systems

Adding people and tools hits a complexity ceiling. Systems scale without proportional resources.

02 — Why we invest

The Irivon Impact Test.

Before we ask whether an asset is attractive, we ask whether Irivon can make it more valuable.

01

Can we materially improve revenue?

Positioning, distribution, sales architecture, pricing or market expansion.

02

Can we improve the operating system?

Processes, automation, management infrastructure and execution discipline.

03

Can our infrastructure create an advantage?

Sourcing, capital access, market intelligence or operational deployment the company could not access alone.

04

Can we create a credible path to higher enterprise value?

Not theoretical growth — measurable structural improvement.

No material impact. No investment.
IMPACT TESTWhy we invest

VALUE CREATIONHow enterprise value grows
03 — How we execute

From thesis to realization.

Six stages. Each carried by something Irivon runs.

SOURCEFind differentiated opportunities.ExitToBuy, platform relationships and direct sourcing expand proprietary access.
DIAGNOSEFind the constraint.Identify the structural bottleneck before capital is committed.
STRUCTUREMake the thesis executable.Structure the investment around downside protection, capital requirements and the value-creation plan.
BUILDChange the operating system.Deploy the infrastructure required to close the identified gap.
SCALECompound what works.Expand proven revenue, operating and distribution systems.
REALIZECreate optionality.Hold, recapitalize or pursue a strategic exit based on the asset and market environment.
04 — The value creation equation

Where the value comes from.

Not a formula. The logic every Irivon investment has to satisfy.

ENTRYProven underlying valueRevenue, customers, a real product or a real asset — value that already exists.

IRIVONStructural improvementThe specific constraint Irivon removes: revenue architecture, operating system, infrastructure, positioning.
→
OPERATING RESULTA stronger operating business
  • Stronger revenue architecture
  • Operating leverage
  • Reduced dependency
  • Broader strategic options
→
ENTERPRISE VALUEA structurally stronger assetWorth more because of what changed inside it — not because the market changed its mind.

We do not underwrite value creation to market multiple expansion. We underwrite what we believe we can change inside the asset.

05 — Downside discipline

The thesis has to work without perfect conditions.

Upside is the story. Discipline is what makes it investable.

01ENTRY DISCIPLINEDo not rely on aggressive assumptions.

An investment has to make sense on what exists today — not on a forecast that needs everything to go right.

02OPERATING CONTROLPrioritize what Irivon can influence directly.

Value-creation plans are built around variables inside the asset, not around market conditions we cannot control.

03MULTIPLE PATHS TO VALUEBuild multiple paths to value.

Build toward hold, recapitalization or strategic realization — so the thesis does not depend on one exit.

06 — Convictions

Five beliefs behind every decision.

01

Infrastructure precedes capital.

Many businesses reach an operating ceiling before they reach a capital ceiling.

02

Operational improvement creates value financial engineering alone cannot.

What changes inside the business is the source of durable value — structure amplifies it, it does not replace it.

03

Build differentiated sourcing.

Owned and direct sourcing channels expand access beyond widely marketed processes and can improve information before entry.

04

Build with realization in mind.

The path to eventual realization begins with what is built during ownership — not when a sale process starts.

05

Selectivity compounds.

The ability to say no is part of the investment model. We deploy only where Irivon's involvement can materially change the outcome.

07 — Discipline by exclusion

What we avoid.

These conditions end an opportunity early. Additional criteria apply by strategy.

  • No identifiable Irivon advantage
  • No credible value-creation path
  • Pure financial engineering
  • Regulatory complexity outside our competence
  • Failure of the Impact Test

Platform-wide exclusions apply to every strategy — private equity, technology, marketplaces and real assets. Each strategy adds its own criteria on top.
