09 — Definitions

Terms, defined.

What is deal-by-deal participation?

Investing in one specific opportunity through its own vehicle, with its own terms, rather than committing capital to a pooled fund. The investor sees the asset and the plan first, then decides. Irivon structures current investor access this way; see the thesis for why.

10 — Questions

Questions we are asked.

Direct answers, in the words we use with investors and partners.

How does investing with Irivon work?
Irivon gives accredited investors access to individual opportunities. You see the asset, the value-creation plan and the structure, and participate one opportunity at a time. Current investor access is structured around individual opportunities rather than a blind-pool commitment.
What is deal-by-deal participation?
Deal-by-deal participation means each investment is made through its own opportunity-specific vehicle with its own terms, rather than through a pooled fund where a manager allocates committed capital at its discretion. Investors decide on each opportunity independently.
What do investors see before they invest?
Every opportunity is presented in six parts: the asset, why Irivon, the structure, the plan, the risks and the materials. Each opportunity is evaluated on its own materials, structure and risk profile.
How does Irivon make money on an opportunity?
Irivon's economics are opportunity-specific — performance participation and other economics as agreed for that deal, set out only in its offering materials. They are designed to align a meaningful portion of compensation with investment outcomes.
Who is eligible to invest?
Investor access is limited to eligible investors and subject to applicable securities laws, jurisdictional requirements and opportunity-specific eligibility criteria. Eligibility is confirmed before offering-specific materials are shared.
Does Irivon work with investors outside the United States?
Yes. Irivon is developing relationships with family offices, institutions and private investors across the GCC (UAE, Saudi Arabia, Qatar) and other jurisdictions seeking direct access to selected U.S. opportunities, subject to applicable eligibility requirements.
